1. Licensing and Responsibility
1.1 For billing and permitting purposes, all work shall be performed under ConnectAbility of MN, Inc.’s Residential Contractor License.
1.2 The Subcontractor acknowledges and agrees that all labor, materials, and warranties provided shall be under the Subcontractor’s Residential Contractor License, and the Subcontractor shall remain fully responsible for workmanship and compliance with applicable building codes.
2. Scope of Work and Change Orders
2.1 The Subcontractor’s work is limited strictly to the Scope of Work as presented and agreed upon in writing at the time of payment.
2.2 No additional work shall be performed, and no additional charges shall be incurred, without prior written authorization.
2.3 Any modifications, additions, or deletions to the Scope of Work require a formal Change Order.
2.4 All Change Orders must receive County approval through ConnectAbility of MN, Inc. prior to being agreed to, performed, or invoiced.
3. Payment Terms
3.1 Contractor shall pay Subcontractor 50% of the agreed subcontract price upon commencement of work.
3.2 The remaining balance shall be paid upon final approval and sign-off by the County Case Manager confirming satisfactory completion of the project.
4. Termination
4.1 Contractor may terminate this Agreement and/or any project at any time, with or without cause, by providing written notice to Subcontractor.
4.2 If the project is terminated by the State of Minnesota/ County Case Manager, the Subcontractor shall return the down payment to ConnectAbility of MN, Inc. / the State of Minnesota within 45 days of written notice.
4.3 On a limited basis, with prior written approval from the State, the Subcontractor may be reimbursed for reasonable costs of unreturnable, pre-purchased materials directly related to the terminated project.
5. Warranties
5.1 Subcontractor shall provide all warranties for workmanship, labor, and materials as required under Minnesota law, and such warranties shall be enforceable directly against the Subcontractor.
5.2 Contractor shall not be held liable for warranty claims arising from Subcontractor’s work.
6. No Liens
6.1 The Subcontractor expressly waives and relinquishes any right to file a mechanic’s lien, materialman’s lien, or any other lien or claim of encumbrance against ConnectAbility of MN, Inc., the State of Minnesota, or any property related to the project.
6.2 The Subcontractor acknowledges that the State of Minnesota is the client and agrees that no liens of any kind may be asserted against state-owned or state-funded property.
7. Communication and Jobsite Requirements
The chain of communication is:
- Client served works directly with ConnectAbility of MN, limited or no external communicate with the subcontractor with the client.
- ConnectAbility of MN communicates directly with the county case manager and the State of Minnesota.
Because of the nature of the population we are serving these guidelines MUST BE STRICTLY ADHERED TO:
1) You must be on time or notify ConnectAbility of MN directly so we can communicate with the client and the case manager. A minimum of 4 hours notice is required so arrangements can be made for the client as needed.
2) Your tools must be removed daily.
3) Your worksite must be clear of debris and mess daily.
4) Special consideration to minimize dust must be made.
5) If a bathroom is to be demoed, a working toilet and water must be in place within 2 business days (not over a weekend).
6) The predetermined schedule must be adhered to due to a client’s situation regarding start and end times of daily work.
7) ConnectAbility of MN is the Contractor of record.
8) A client has the right to pay for upgraded materials; there is a specific process and agreement form for this. Coordiantion of this process is through ConnectAbility of MN team members and payment from the client is directly to the subcontractor.
8. Indemnification
Subcontractor shall defend, indemnify, and hold harmless ConnectAbility of MN, Inc. from any claims, liabilities, damages, or expenses arising out of Subcontractor’s work, negligence, or breach of this Agreement.
9. Compliance with Law
Subcontractor shall comply with all applicable federal, state, and local laws, rules, and regulations, including licensing requirements and building codes.
10. Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions, negotiations, and agreements, whether oral or written. Any amendments must be in writing and signed by both parties.
